Assist the LBC team in supervising, reviewing, and vetting the Company's secretarial documentation including minutes of meetings, directors, and shareholders circular resolution.
Assist the LBC team with preparing and submitting memorandums, Director Circular Resolutions, and Executive Committee Meeting Approval to obtain internal approval.
Assist in coordinating with the external Company Secretary to support corporate exercises and functions, ensuring the accuracy of information, documents or advice provided and/or compliance with statutory requirements.
Assist in ensuring compliance with all relevant statutory requirements (e.g.
:Companies Acts 2016 ) including filing of statutory forms, making disclosures, and maintaining statutory registers/records.
Plan and execute all Board of Director meetings and committee meetings, including strategic planning; creating agendas; inviting appropriate attendees; reserving meeting space and covering all possible logistical issues.
Oversee the corporation's shareholder meetings.
Maintain corporate records, supply the board with resources, create meeting minutes, and handle other matters for the board and its committees.
Ensure the company's governance framework is appropriately developed, established, and maintained, oversee legal entity management, develop and improve the company's governance program, conduct training and development of the board, collaborate with executive teams, and assist in onboarding new directors.
Intellectual Property (IP) (Supporting duties):
Monitor the IP documentation control and management to protect confidentiality and privacy matters of the Company.
Assist in all matters pertaining to IP law/IP rights, IP registration (trademark, copyright, patent, etc.
)/Company's IP Rights Working Group.
Undertake any other projects, tasks, and duties as assigned by superiors from time to time.
Requirements:
Bachelor's Degree/Professional Degree in Business Administration, Corporate Communication, Mass Communication, or equivalent
At least 5 years of related working experience
Proficient in MS Office (Word/Excel/PowerPoint/Outlook)
Knowledge of Companies Act/Malaysia Code of Corporate Governance (MCCG)
MAICSA Certificate will be an added advantage
