Job Description: 1. Liaise with internal and external parties and authorities as and when required to obtain or furnish the requisite information to ensure all requests and enquiries are attended to.
2. Maintain and update statutory books, including registers of members, directors, secretaries, beneficial ownerships and charges to ensure the same are properly recorded and filed.
3. Prepare notices, agendas and minutes for and attend management meetings, Board and Board Committee meetings to ensure compliance with the requirements of the Companies Act, Constitutions, Listing Requirements, where relevant.
4. Provide the requisite information for special projects or corporate assignments to support team members in accomplishing the special projects or corporate assignments.
5. Prepare resolutions of directors and shareholders and follow-up on unsigned resolutions to ensure timely approval is received from them.
6. To assist in review announcements and relevant documents for submission to Bursa Malaysia Securities Berhad.
7. Provide effective support to the Team and assume any other duties as and when assigned.
8. Any other tasks/project assigned by your superior and management.
Qualification: 1. Minimum 1 years of relevant Corporate Secretarial experience.
2. Possess Degree in Corporate Administration, Business Administration, Law or other related disciplines. (ICSA, Licensed secretary or equivalent qualification is a plus).
3. Strong written and verbal communication skills.
4. Good knowledge of Companies Act, procedures and guidelines.
5. Strong Microsoft Office skills (especially Word) and experience in relevant filing systems.
6. Able to work independently with minimal supervision.
7. Strong problem-solving skills.
8. Ability to prioritize work and work well under pressure and navigate multiple deadlines.
9. Ability to deal with relevant authorities and other stakeholders e.g. auditors, bankers, lawyers etc.
10. Meticulous, Organized, Pro-active and adaptable in working styles.
11. Strong command of English (oral and written).
12. Good interpersonal and communication skills, able to influence effectively with all levels of management;
13. Good knowledge of the Companies Act, SSM requirements, Listing Requirements, Malaysian Code on Corporate Governance, and other relevant Securities Commission guidelines.
