About The Job
• Manage all legal and secretarial affairs of COMPANY and its Group of Companies in their business operations to ensure strict compliance with relevant laws and regulations as well as to minimise potential legal risks affecting the Group.
Key Accountabilities Formulate, advise, draft and review on contractual matters for COMPANY and its Group of Companies.Manage & lead negotiations with internal/external parties on legal and transactional issues to maximize legal protection for the Group.Manage legal proceedings/litigation involving the Group with external counsels to ensure accurate reporting to the Board of Directors.Establish effective and best practice governance processes for the Board of Directors to uphold governance and ethics of the Group in its operations.Perform company secretarial services functions for all subsidiaries within the Group and maintain legal and secretarial records to ensure timely submission of statutory records and compliance with laws.Develop and plan annual KPIs and budget for division to ensure smooth implementation in rendering legal support.Coordinate and manage meetings of the Management Committee, Board of Directors and Members to ensure smooth running of meetings.Formulate and monitor group legal policies and/or SOP to ensure overall compliance with the relevant act/regulations. Qualifications/Minimum Requirements Bachelor Degree of Law or equivalentBetween 5 to 10 years of legal experience, including leadership/managerial role.Excellent business acumen regarding understanding business operations and able to provide legal advice aligned with business strategy.Possess Company Secretarial License.
