Job Purpose
Control and monitoring of all company secretarial aspects of the company to ensure proper compliance with the applicable statutory and regulatory requirements including the adoption of governance best practices.
Main Accountabilities
Responsible for the establishment of updated corporate governance framework integrating policy matters in the relevant Board charter, Board remuneration pursuant to the public listing requirements.
Efficient management of all related matters of convening including the proceedings of Board/Board Committees/Shareholders in accordance with applicable statutory and regulatory requirements.
Engage and guide Executives-in-charge to ensure accuracy and completeness of their draft minutes of the Board/Board Committees/Shareholders' proceedings in accordance with the requirements and timeline.
Review the drafts relating to regulatory submission, notification, compliance reporting, and announcements for with accuracy and timeliness.
Prepare Board and Members' resolutions as well as monitoring of the approvals are obtained, and that prompt and accurate information of such approvals being communicated by the Executives-in-charge to relevant management.
Consult and initiate drafting of Board advisory on obligations and requirements of the relevant securities laws and regulation, including the governing constitutional documents of company as well as relating to fund management.
To be appointed as Joint Company Secretary at the appropriate time.
Requirements
Qualifications:
Completed the governance professional examinations especially ICSA and admitted with chartered membership of the company secretary professional body.
Bachelor's degree in law, business, and management.
Added Advantage:
Minimum 7 years in practice with at least 3 years relevant exposure in listed companies.
Additional Experience:
Valid Company Secretary License issued by the Companies Commission Malaysia if without the legally mandated professional qualifications of MAICSA/ MIA/MICPA/ MACS or a valid Malaysian Bar Council Registration.
Valid Practicing Certificate issued by the Companies Commission.#J-18808-Ljbffr
