Senior Manager, Legal

Details of the offer

You will be responsible for providing legal advice across the full range of legal matters affecting the businesses within the Group and support its growth.
Draft, review, advisory, litigation negotiate legal agreements (such as services agreements, tender documents, share purchase agreements, joint venture contracts, Letters of Intent and NDAs) but not limited to existing, new corporate or commercial projects and services of the Company's businesses.
Advise the contract lifecycle management within company in terms of legal advisory, litigation, drafting, reviewing and negotiating different kinds of commercial contracts for the company with vendors, suppliers, employee and any other third parties.
Work closely with commercial teams to assimilate regulatory with commercial goals, identify potential legal issues and develop legal strategies to capitalize on business opportunities to liaise with external counsels together with prospective partners on challenging assignments to provide legal support and input.
To escalate and report material contracts, litigation, actions or decisions that give rise to potential legal or reputation risks to the various business units and advise on the legal ramifications.
Participate on related administrative teams to develop appropriate policies and procedures on legal frameworks for the business to ensure good corporate governance also compliance with prescribed standards of conduct.
Work closely with other operational department in sharing best practices in legal research opinions, as well as providing litigation support and regulatory advice.
Organizing, preparing agendas also papers for board meetings, committees and annual general meetings (AGMs).
Responsible for overseeing and managing all matters regarding Bursa reporting requirements.
Overseeing policies, make sure they are kept up to date and referred to the appropriate committee for approval.
Maintaining the register of shareholders and monitoring changes in share ownership of the company.
Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders.
Identify risk along with the ability and provide direction to the business to mitigate such risks.
Continuously improve the contract process in the region in close alignment with the corporate policies and strategies.
Advising and supporting on general business law issues also managing the legal issues of various areas, including but not limited to corporate & commercial matters, sales, data and operational issues and employee relations matter within the company.
Cooperate and work with the other business units within the Group Commercial, Operations, Technology as well as supporting areas in Finance, Corporate Planning, Human Resources, Marketing in resolving issues or matters affecting the Company's businesses.
Managing the company's legal disputes (if any), including instructing external counsel, attending court proceedings and preparing updates to management where necessary.
Review/ update the agreements at regular intervals to incorporate current issues of concern.
Job Requirements
Law degree (LLB Hons) Recognized Law degree with at least 20 years working experience, in an established legal firm or performing as legal counsel from a technology - based corporation.
Experience in structuring and negotiating all manner of international commercial, government, sectors, corporate and partnership consortium agreement in the information technology industry, experience and knowledge in corporate regulatory matters with intellectual property law is preferred.
Commercially astute, efficient as well as organized with good analytic drafting, negotiation and client communication skills.
Has some experience in handling employee relations matter
Able to deliver high - quality work under deadlines.
Diplomatic and bridge - building personality is essential.
Excellent communication, presentation and interpersonal skills.
Good organization, prioritization and time management skills.
Oral and written proficiency in English, Bahasa and Mandarin
Strong sense of responsibility and initiative.
Technologically adept and possess good computers skills such as Ms Office, Ms Excel and Ms PowerPoint.#J-18808-Ljbffr
