To handle and resolve all legal, regulatory compliance and corporate/commercial issues for one of the region's largest credit reporting agencies.
To perform the role of a legal counsel in securing CTOS Group's interests at all times.
To constantly support CTOS Group's business operations and broader objectives.
What you are expected to do :
To engage and collaborate cross-functionally and effectively with internal stakeholders.
To effectively understand the needs of internal stakeholders and of the business and accordingly provide proactive legal partnering on all aspects of such needs in a manner which advances the Company's business objectives while effectively managing the relevant legal risks.
To manage, report and continuously improve the overall contract management system including advising contractual strategies, drafting, reviewing, and negotiating a wide variety of contracts for products and services, material sourcing, licensing, consultancy, distribution, collaboration, partnerships and other various commercial arrangements with domestic and international entities.
To identify legal, contractual and regulatory compliance risks and concerns, drafting risk mitigation strategies and providing comprehensive advisory and solutions that are strategic, pragmatic and effective to the internal stakeholders and the business' operations across regions.
To select, engage, instruct and manage external counsels and matters requiring outsourcing of legal activities (retainer, litigation and others)
To monitor the performance timeliness, prepare report and update on all assignments handled by external counsels.
To assess the output from external counsels with a focus on obtaining cost effective, high quality, pragmatic timely advice and controlling and approving overall budget expenditure.
To review and advise on corporate matters, group structure considerations including assessing and advising on current and future business collaboration.
To review, advise, update, manage and report on all claims, disputes and litigation involving the Company and its group.
To conduct research, advise and update the Company on changes in laws to ensure that the Company and its group's business activities, operations, strategies, documentation, policies and contract management processes remain current, commercially appropriate and effective.
• To develop and maintain the relationship with key external stakeholders to ensure the Company's interests are well-represented.
• To prepare, update and manage internal reports, policies, standard operating procedures, checklist and work status.
To handle any other tasks as may be assigned by General Manager of Corporate Legal Affairs from time to time.
What qualifies you for the role :
LLB (Hons) 2nd Upper preferred.
Advocate and Solicitor/Peguambela & Peguamcara, Malaysia (or equivalent such as commonwealth jurisdiction barristers or solicitors).
At least 10 years of working experience in Financial Institution/ MNC/PLC handling corporate legal function ranging from corporate exercises, contracts management, product and services development and litigation or combined practicing lawyer and in-house counsel experience with minimum 13 years PQE.
Well experienced in advising and handling legal matters concerning the legislation applicable to the business and operation including the Credit Reporting Agencies Act 2010 (CRA), Personal Data Protection Act (PDPA), Central Bank Act, Financial Services Act and BNM guidelines, Communications and Multimedia Act, Competition Act, Capital Markets and Services Act, BURSA Main Market Listing Requirement and others.
Experience or familiarization with CRA and/or PDPA is essential.
Experience in handling contracts, negotiations, legal opinions and legal disputes.
Able to lead in negotiating / securing best commercial position for the Company whilst applying the law and taking cognizance of other relevant factors.
Past working experience in handling and/or managing litigation, potential litigation and strategic dispute resolution.
Willingness and ability to negotiate and contest opposing parties, to think commercially and formulate solutions to complex commercial situations.
Experience in monitoring and managing external counsels.
Analytical thinking in evaluating and advising on legal issues and legal risks, resourceful, self-motivated, independent and able to multitasks in lean organizational structure.
