Our client, a listed large-scale and leading telecommunications and integrated information services operator, is urgently seeking a Company Secretarial Manager to join their expanding team.
Job DescriptionOrganize board/shareholders meetings and prepare annual/interim reports, announcements, and circulars.
Handle the full spectrum of company secretarial matters for the group of companies.
Manage compliance issues to meet the standards of corporate governance and other statutory and regulatory requirements in all relevant jurisdictions.
Review and draft legal documents, governance charters, and provide expert advice/comments to business units.
Work closely with external parties/internal departments to ensure the group of companies complies with regulatory requirements from a company secretarial perspective.
Translate legal documents and handle any legal in-house issues.
Assist in handling ad-hoc projects.
Perform ad-hoc tasks for the department.
Job RequirementsDegree holder in Law or any related disciplines; LLB in PRC, HK, or overseas is preferred.
At least 5 years of relevant working experience in corporate governance; experience in a HK Law firm is preferred.
Qualified professional with HKICS/ICSA membership is an advantage.
Strong knowledge of Listing Rules, Company Ordinance, corporate governance requirements, and other statutory and regulatory requirements.
Strong sense of responsibility, well organized, and proactive.
Able to work independently, under pressure, and multitask.
Good command of MS Office and Chinese word processing.
Excellent command of both spoken and written English and Chinese (including Mandarin).
Less experience would be considered for the Assistant Legal Manager position.#J-18808-Ljbffr
