Company Secretary, Assistant Manager

Summary: Responsible for ensuring compliance with Companies Act and responsible for all corporate secretarial related matters.
Responsibilities : To provide in-house secretarial services in managing and administering secretarial practices and statutory requirements in compliance with Companies Act 2016 and other countries local act for all overseas entities.
To exercise a comprehensive company secretarial duties and functions for a group of companies.
To prepare and attend to various corporate documents, statutory forms and legal documents.
To ensure proper maintenance of statutory records and submission of statutory returns.
Oversee the Company's corporate governance framework, ensuring compliance with relevant laws and regulations.
Implementing corporate governance best practices.
Advise Board of Directors and Senior Management on governance issues, company policies, and legal compliance.
To coordinate and support other departments in special assignments and corporate exercise.
Deal and liaise with external auditors during audit review.
Deal and liaise with external company secretaries/lawyers and corporate services provider for overseas legal entities on corporate documents and secretarial matters.
Dealing with Bankers, discuss and negotiate the Term and Conditions of the Banking Facilities.
Negotiating, drafting and review of trade agreements, agreements of all kinds and other legal documents.
Ensure all agreements and contracts comply with the relevant laws and regulations, including but not limit to international trade laws.
Collaborate with internal stakeholders and external partners to facilitate smooth execution of agreements and contracts.
Track and manage the performance of agreements, addressing any issues or disputes that arise.
Ensure compliance with Direct Selling Act and Direct Selling Association Regulations in Malaysia and relevant countries.
Attends other's ad-hoc assignments as and when required.
Requirement : Bachelor's Degree or Professional Qualification in Business Administration/ Management/ Secretarial or equivalent At least 8 years of related working experience in a corporate secretarial role Strong execution & organizational skills Strategic orientation Ability to anticipate & resolve issues with diplomacy Proactive & excellent communication skills Negotiation skills Facilitation skill Remuneration MYR 6,000 - MYR 7,000 Consultant in charge Ashylinder | 011 2129 0225 | ******
