Corporate Secretarial, Assistant Manager or ManagerProvide a complete range of company secretarial assistance and administrative support to the Head of Corporate Secretarial Services Department for all entities established within Singapore and Malaysia such as company incorporation, corporate exercise, restructuring, acquisitions, disposals, takeovers, listings, investigations, striking-off procedures, liquidations, and any other relevant corporate secretarial matters.
Jobs Responsibilities:
Appointed asLicensed Corporate Secretaryfor internal company and clients.
Experienced in lodgement of documents with ACRA Singapore will be an advantage.
Provide timely Corporate Secretarial advice and functions.
Oversee corporate secretarial duties, including:Company incorporation
Annual filing
Striking-off proceduresPreparation of directors'/shareholders' resolutions.
Share allotment and transfers.
Amendments to company constitution.
Ensure timely and accurate lodgement and submission of statutory documents to relevant authorities i.e. SSM and ACRA.
Organize and handle clients' Annual General Meetings.
Maintain strong client relationships and address inquiries related to Corporate Secretarial matters.
Manage internal department operations for seamless inter-departmental collaboration.
Maintain and update statutory document records accurately.
Oversee and guide subordinates in their job responsibilities.
Report to management on relevant matters from time to time.
Qualifications & Experience:
Must possess ICSA or an equivalent qualification, or be a member of MAICSA, or hold a relevant credential.
Minimum 5 years of experience as a Corporate Secretary at a managerial level in the corporate secretarial industry.
Well-versed in the Companies Act 2016, corporate governance practices, and other statutory requirements.
Knowledge of Secretarial software, MYCOID, MBRS, MYDATA, e-Info is preferable. Experience in using BizFile+ will be an advantage.
Strong attention to detail.
Capable of handling all aspects of corporate secretarial duties.
High degree of integrity and strong sense of responsibility.
Excellent interpersonal skills for managing clients and team members.
Strong written and verbal communication, presentation, and facilitation skills.
Ability to manage priorities, meet deadlines, and adapt to frequent changes.
Proficient in speaking, reading, and writing in both English and Mandarin. Mandarin speaker as role requires candidate to deal with Mandarin speaking clients (i.e. China Market).
