Job Responsibilities: Lead and manage the secretarial function of OCI M SDN BHD, ensuring compliance with corporate governance and regulatory requirements.
Oversee the preparation, drafting, and filing of statutory documents, ensuring timely submissions to relevant authorities.
Direct the organization and documentation of Board meetings, including agendas, minutes, and follow-up actions to ensure effective governance.
Provide expert advice to the Board of Directors and senior management on corporate governance practices and regulatory changes.
Ensure that corporate records are maintained accurately, including registers of shareholders and directors, and manage the company's statutory books.
Monitor compliance with company policies and procedures, and recommend improvements to enhance efficiency and effectiveness.
Coordinate with external regulators, advisors, and service providers to ensure compliance with applicable laws and regulations.
Develop and deliver training programs on corporate governance and secretarial practices for staff and directors.
Stay updated on legal and regulatory developments affecting corporate governance to ensure the organization remains compliant.
Requirements Job Requirements: Bachelor's degree/ Master's degree in Law, Business Administration, or a related discipline; a professional qualification in company secretarial practice (e.g., ICSA) is highly desirable.
Minimum of 10 years' experience in corporate secretarial or governance roles, with at least 5 years in a managerial capacity.
Comprehensive understanding of corporate governance, company law, and regulatory requirements.
Strong organizational and project management skills with exceptional attention to detail.
Excellent communication skills, both written and verbal, with proficiency in drafting formal documents.
Ability to interact effectively with a diverse range of stakeholders, including Board members and regulatory bodies.
Proficient in using office and secretarial management software; familiarity with corporate governance tools is a plus.
Fluency in English and Bahasa Malaysia; knowledge of additional languages is an advantage.
Demonstrated integrity, confidentiality, and professionalism in handling sensitive information.
