Our client, a HK listed corporation with exposure in banking, insurance and energy business, who is urgently seeking a Head of Company Secretary to join the team.
Job Description
Report to AGM and manage full range of company secretarial matters for the company and its subsidiaries and associates incorporated in Hong Kong, the PRC and offshore countries
Organize and prepare materials for AGM and Board meetings, prepare announcements and circulars
Organize and maintain company secretarial records and registers, handle filings and correspondence with the regulatory and statutory authorities
Handle incorporation and deregistration of companies, preparing of minutes, resolutions, annual return, announcement etc.
Handle compliance issues in order to meet the standard on corporate governance and other statutory and regulatory requirements in Hong Kong, the PRC and offshore countries
Liaise and coordinate with internal and external parties on company secretarial issues
Handle ad-hoc projects assigned by the Senior Management and advise on business-related issues and solutions
Job RequirementsDegree holder or above
Associate member of ICSA or HKICS with at least 10 years' post qualification experience in handling company secretarial duties with at least 5 years at supervisory or managerial level, Hong Kong listed companies exposure is a must
Experienced in handling corporate finance matters
Practical experience in dealing with PRC company secretarial matters is an advantage
Self-motivated, accurate and attention to details, able to work under pressure
Excellent command of spoken and written English, Cantonese and Mandarin
Strong communication, analytical and problem-solving skills
