Draft and review company policies and procedures to ensure compliance with all national and international laws and regulations;
Prepare various commercial agreements including drafting, vetting, reviewing, amending agreements, and any other legal documents which involve the interest of all group of companies and ensure the Company/Group's interest are protected at all times;
Drafting, vetting and reviewing all formal correspondences for various business units which entail legal implications;
Develop and implement an effective legal compliance program, including policies, procedures, and controls that address all relevant regulatory requirements and risks;
Coordinate litigation and any other legal matters handled by external lawyers;
Assist in legal services on all legal aspects of corporate business and affairs of the Company/Group;
Collaborate with external company secretaries and ensure compliance with statutory regulations, including the Companies Act and Bursa Malaysia Securities Berhad requirements;
Oversee all company secretarial matters including preparing minutes of meetings, directors' resolutions, shareholders' resolutions, statutory forms and related documents for filing via MYCOID or over-the-counter submission where applicable, in accordance with statutory requirements;
Perform any other duties as assigned by the immediate superior.
Requirements and qualifications:
Possess at least a bachelor's degree in law, well-versed in Companies Act 2016 and Corporate Law.
Degree in Business Management, Corporate Administration or MAICSA graduates will be considered.
Minimum of 5 years of working experience either as a practicing lawyer or in a compliance role within the IT/Technology industry.
Comprehensive knowledge of the regulatory environment in Malaysia.
Conversant in company law and company secretarial practice.
Understanding business issues and context while writing minutes.
Excellent analytical skills with superior attention to detail to identify and correct risky practices.
Strong skills in drafting, reviewing, and negotiating legal documents and agreements.
Adaptable to a fluid and fast-paced working environment.
