ResponsibilitiesJob Purpose:
- Manage, monitor, review, and provide legal advisory services, manage dispute resolution issues, and implement compliance framework to optimize organizational efficiency regarding legal matters and protect the Company's interests against liabilities.
- Anticipate, identify, and address potential legal issues and risks for business transactions, operations, and strategic initiatives, advising the business unit accordingly.
- Act as the guardian of the Company's interests and corporate governance.
Key Accountabilities:
Legal Advisory ServicesManage, monitor, review, and provide legal advisory services across all divisions, including:
- Understanding legal issues, interpretation of laws, and terms and conditions of contracts.
- Drafting, reviewing, and negotiating terms of transactions to ensure they meet the Company's needs and mitigate risk exposure.
- Structuring business transactions for clarity and sufficiency for implementation and operation.
Dispute ResolutionsManage, monitor, and coordinate the Company's approach towards dispute resolution proceedings, including liaising with and supervising external legal counsel.
ComplianceManage, monitor, review, and implement frameworks for internal and external compliance, including:
- Highlighting internal requirements and updating the Company on relevant statutory requirements.
- Providing advice and necessary actions to secure compliance.
General Accountabilities- Manage, monitor, and review the implementation of the legal framework (policies, procedures, manuals) to optimize organizational efficiency regarding legal matters.
- Direct and oversee junior counsel.
- Maintain professional growth through seminars and workshops to stay updated on relevant laws.
- Train relevant personnel to understand legal and compliance issues.
- Adhere to the Anti-bribery policy and management system.
- Undertake additional assignments as instructed by the Company.
RequirementsQualifications:
- Degree in law from an accredited law school.
Experience:
- At least 5 years of post-qualification experience, familiar with various legal concepts, practices, and procedures, including:
- Finance transactions (financial services, capital markets)
- Property dealing transactions (sale & purchase, lease, tenancy, licensing, alienation, compulsory acquisition, amalgamation, and subdivision)
- Property development transactions (joint land development)
- Infrastructure development transactions (construction, project management)
- Commercial transactions (services, consultancy, agency, management, operation, maintenance, collaboration, and concession)
- Corporate transactions (mergers & acquisitions, corporate secretarial)
- IT transactions (software/system development & maintenance)
- Dispute resolution transactions.
